By accessing or using our platform, you agree to the following Terms of Service. Please read them carefully before using DX ELD products.

Acceptance of Terms

By using DX ELD services, you accept these Terms and our Privacy Policy. These Terms override any previous agreements.

Definitions

• We/Provider: Refers to DX ELD, the provider of services and equipment.
• You/Customer: The person or organization using our platform.
• Product(s): Our software and hardware solutions used for compliance and fleet management.
• Personal Information: Any data related to an identifiable individual, subject to privacy regulations.

Use of Products

Conditions of use:

• Complete the Order Form.
• Accept these Terms via our application.
• Follow provided instructions for setup and use.

You must not:

• Modify or reverse-engineer any of our products.
• Distribute or lease our services without permission.
• Use our services to transmit harmful software.
• Scrape or extract data without consent.
• Use the platform for illegal or competing purposes.

Subscription and Payments

• Fees: Subscription fees are billed monthly in advance. Notice of fee changes will be provided 30 days in advance.
• Late Payments: Overdue accounts may incur interest or penalties. Legal and collection costs may apply.
• Taxes: Users are responsible for all applicable taxes.

Hardware Terms

• Usage: Use hardware as intended. Installation and upkeep are your responsibility.
• Warranty: Purchased or leased hardware may include warranty coverage. Defective items will be replaced or repaired at our discretion.
• Returns: Returns are accepted within 30 days and may be subject to a restocking fee.

Intellectual Property

• DX ELD retains all rights to its software, hardware, and materials. You receive a limited license for internal business use.
• We may analyze anonymized usage data to enhance our services. See our Privacy Policy for details.

Confidentiality

• Both parties must protect confidential information. This duty remains for seven years or until information becomes public.

Liability

• We are not liable for indirect damages. Our total liability is capped at the fees paid in the past six months.
• You agree to indemnify DX ELD for misuse. We’ll indemnify you against claims involving our technology.

Term and Termination

• These Terms start upon use and renew yearly unless cancelled.
• Either party may terminate with 30 days’ notice. Immediate termination applies in case of serious breach or non-payment.
• After termination, services must cease, hardware returned, and payments settled.

Dispute Resolution

• Mediation will be attempted first. Unresolved issues proceed to arbitration or court, depending on agreement specifics.

General Provisions

• We are not liable for delays due to events outside our control.
• Official notices must be delivered via email, mail, or courier.
• Rights cannot be transferred without consent. DX ELD may assign rights.
• If any part of these Terms is invalid, the remainder stays in effect.
• These Terms and the Privacy Policy make up the full agreement.
